Terms of Service

1. What this is

These Terms of Service (“Terms”) govern your access to and use of The Onion (“the Service”), operated by Cradle House Holdings(“we”, “us”). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

2. Who can use it

You must be at least 18 years old and have the authority to bind your business (if signing up on behalf of one). The Service is B2B; consumer use is not supported.

The Service is currently in alpha. Access is invite-only. We may grant or revoke alpha access at our discretion. Alpha pricing, features, and SLAs may change before general availability.

3. Your account

You are responsible for:

  • Keeping your credentials secure (we recommend MFA on your Google sign-in)
  • Activity that occurs under your account, including any team members you invite
  • Promptly notifying us at admin@cradle.house if you suspect unauthorized access

4. Acceptable use

You agree NOT to:

  • Use the Service to instrument sites you don't own or operate
  • Use onion.js to capture data from users without disclosing it in your own site's privacy policy
  • Capture sensitive personal data (passwords, payment cards, government identifiers, health records) through the Service. onion.js explicitly avoids these fields; do not override that protection.
  • Reverse engineer, decompile, or attempt to extract source code (except to the extent that law permits)
  • Resell, white-label, or sublicense the Service without a separate written agreement
  • Use the Service to send spam, harass, deceive, or harm anyone
  • Use the Service in violation of applicable laws (including export controls, privacy laws, anti-spam laws, ad-platform terms)
  • Interfere with or disrupt the Service or attempt unauthorized access to other accounts

We may suspend or terminate accounts that violate these terms, with or without notice depending on severity.

5. Your data, your customers' data

You own your data.Project metadata, KPI definitions, Playbooks, and behavioral data captured from your sites — that's yours. We act as a processor under your instructions.

You are responsible for:

  • Having a privacy policy on your own site that covers onion.js-style first-party analytics
  • Obtaining any consent your jurisdiction requires (cookie banners, GDPR opt-in, CCPA opt-out, etc.) before deploying tracking
  • Ensuring you have the right to share third-party data (e.g. ad-platform data you connect via OAuth) with The Onion
  • Honoring data-subject requests (access, deletion, etc.) from your end-users — we'll help by deleting or exporting the data we hold on their behalf when you ask

6. Third-party integrations

The Service connects to third-party platforms (Google Ads, Google Analytics, Search Console, Meta, Microsoft Clarity, Anthropic, OpenAI, etc.). Each has its own terms which you separately accept by connecting them. We're not responsible for the availability, accuracy, or behavior of those platforms.

7. AI features

The Service includes AI-powered features (Focus Coach, content generation, etc.) backed by third-party LLM providers (currently Anthropic Claude and OpenAI). Outputs are generated; they may be inaccurate, biased, or unsuitable for your purpose. Use them as starting points, not final decisions. We don't train models on your data without explicit opt-in.

8. Fees and billing

During alpha, the Service is provided at zero or reduced cost. Pricing for general availability will be announced before you're charged anything. Any fees you do owe are invoiced via Stripe in USD and non-refundable unless required by law.

You're responsible for any API costs that pass through your account (e.g. OpenAI image generation, Twilio SMS, Perplexity audits) at provider rates. We'll show estimates in-app before you incur material costs.

9. Intellectual property

We own the Service, including onion.js, the dashboard, our libraries, and our documentation. You get a non-exclusive, non-transferable license to use them for your own business while your account is active. We retain all rights not expressly granted.

Anything you input (project names, Playbook content, KPI definitions) stays yours. We get a license to host and process it solely to provide the Service.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DON'T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Marketing decisions made using The Onion are yours. We instrument the data and surface patterns; we don't guarantee outcomes.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

Our total cumulative liability for any claim is limited to the amount you paid us in the 12 months before the event giving rise to the claim, or USD $100, whichever is greater.

12. Indemnification

You agree to defend and indemnify us against claims arising from: (a) your use of the Service in violation of these Terms, (b) your violation of any law or third-party rights, or (c) data you ingested into the Service that you did not have the right to.

13. Termination

Either party can terminate at any time. You can cancel by emailing admin@cradle.house or deleting your account in-app. We can suspend or terminate immediately if you breach these Terms, the law, or third-party platform terms.

On termination: we delete your project data within 90 days, subject to legal-retention obligations. You can request an export before deletion.

14. Changes to these Terms

We may update these Terms. If material, we'll notify customers by email with at least 14 days' notice. Continued use after the effective date constitutes acceptance.

15. Governing law + disputes

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of those courts.

If you are an EU/UK customer, the mandatory consumer-protection laws of your country of residence may also apply. Nothing in these Terms limits non-waivable statutory rights.

16. Miscellaneous

  • If any provision of these Terms is found unenforceable, the rest remain in effect.
  • Our failure to enforce a right isn't a waiver of it.
  • These Terms, plus the Privacy Policy and any signed order forms, are the entire agreement between us.
  • You can't assign these Terms without our written consent. We can assign them as part of a corporate transaction (merger, acquisition, sale of assets) with notice to you.
